Terms of Service

By creating an account or using the ACS platform ("Service"), operated by Automated Contractor Solutions LLC ("ACS," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

ACS provides AI-powered SMS follow-up tools for home-service contractors. The Service enables contractors to upload customer quotes and automatically send text message follow-ups, handle customer inquiries via AI, and manage their sales pipeline through a web dashboard.

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years old and authorized to conduct business in your jurisdiction.

ACS offers paid subscription plans (Starter, Pro, Business). By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

Contractor responsibilities: As a contractor using ACS, you are responsible for:

• Obtaining proper consent from your customers before their phone numbers are entered into the ACS platform
• Ensuring that each customer has explicitly agreed to receive text messages regarding their service quote
• Complying with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable federal, state, and local regulations governing text messaging
• Honoring all opt-out requests promptly (customers may reply STOP at any time)

Consent requirements: Before entering a customer's phone number into ACS, you must have obtained their express written consent to receive automated text messages. This consent must be:

• Clearly and conspicuously disclosed
• Separate from any other agreement or consent
• Specific to SMS/text messaging
• Documented and retained for your records

Message content: Messages sent through ACS are AI-generated based on quote data you provide. While ACS employs safety filters and content moderation, you are ultimately responsible for the accuracy of quote information entered and the messages sent on your behalf.

Message and data rates: Message and data rates may apply. Contact your wireless carrier for details about your text messaging plan.

Opt-out handling: ACS automatically processes STOP requests from customers and ceases all messaging. You must not attempt to circumvent opt-out requests by re-adding opted-out phone numbers.

Prohibited uses: You may not use ACS to send messages that are deceptive, contain false information, promote illegal services, or violate any applicable law. ACS reserves the right to suspend accounts that violate messaging compliance requirements.

You agree not to:

• Use the Service for any unlawful purpose
• Upload false or misleading quote information
• Attempt to access other users' data or accounts
• Reverse-engineer, decompile, or disassemble any part of the Service
• Send unsolicited or spam text messages through the platform
• Exceed rate limits or abuse the API

ACS and its original content, features, and functionality are owned by Automated Contractor Solutions LLC. Your quote data, customer information, and business data remain your property. By using the Service, you grant us a limited license to process your data solely to provide the Service.

ACS is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost revenue, lost customers, or regulatory fines resulting from your messaging practices. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

You agree to indemnify and hold harmless ACS, its officers, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or regulation related to text messaging or consumer communications.

We may suspend or terminate your account at any time for violation of these Terms, particularly for SMS compliance violations. Upon termination, your right to use the Service ceases immediately. Sections 8, 9, and 11 survive termination.

These Terms are governed by the laws of the State of Florida, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Florida.

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification. Continued use of the Service after changes constitutes acceptance.
